Non-Board Members At A Board Meeting: Any special resolution required?

Question: Is a resolution required when someone other than board members sits in on a regularly scheduled monthly board meeting? What should be included in this resolution? On occassion officers or employees may sit in on the board meeting to do presentations and/or answer questions concerning certain issues.

Answer: I have not heard of a resolution being needed for this. It is quite common to have non-board members in the room from time to time.

They may be asked to leave when there is specific and sensitive matters discussed. But nothing special is needed to have them make a presentation or discuss topics on which they are the subject matter expert.
