I believe this would be a state law issue. You would have to contact the bank's legal counsel.

Resolutions oftentimes contain more than one signature. Is the one you are questioning that of the person who will be acting on behalf of the corporation in dealing with the bank, or the person who is authenticating the resolution?

As much as the importance of these documents is often dismissed by business customers, having a corporate resolution is of great importance to a bank. Having it presented with a facsimile signature is a sign the business owners or the clerk/secretary of the corporation is pretty casual about providing the information on who can act for the business, or that there's some skullduggery going on.

You have the right to insist on a wet signature on that form. I recommend you insist upon it.

Agreed. If they want to "sign" checks with a signature stamp, the law allows it and, hopefully, your account contract explains the risks. Thus, the UCC would be well satisfied if the sample signature provided is a stamp.

However, it's totally up to your bank to decide whether a signature stamp for the person certifying that the resolution had been adopted. I would not even consider it.
