Currently when we open a deposit account for a business, organization, etc., we have them sign a signature card and a resolution. We have some that don't want to do the signature card because the resolution is what we use to establish the authorized signers. I feel that it is the signature card that establishes the account so it is necessary. What do others do? Thanks for any input and insight.

The resolution simply covers action by the directors of the entity to support the opening of an account and establishes the authorized signers. That document can be several pages and does not include any of the disclosures, etc. that must be acknowledged by signature when an account is actually opened under the authority provided within the board resolution. Therefore, a signature card must be completed and signed by all those authorized. There should be no exceptions.

Let us not forget who makes the rules. The bank does.
