I know this question is outside of Compliance, but I’m hoping you can reach out to your HR people for me. We are trying to get an idea of what the “typical” agenda is at other banks’ Personnel Committee meetings mainly to keep our committee fresh, but more importantly, to ensure they are discussing the key things they should be.

Thank you for any input you may have!

My first question is the Personnel Committee a Board Committee or a Bank Management Committee?

My question is if you do not know what to put on the agenda why are you having the committee? Regualtory suggestion?

It's a board approved committee, but it's current just a bank management committee. What I've been told is that they are trying to make sure they are covering all of the relevant topics they should be so they are curious what other bank personnel committees cover in theirs.

Here is what I would say. Have the committee develop a charter. The charter would direct them what to discuss at each meeting and annually. Depending on the size of your bank here are items I think should be discussed at each meeting:

-number of new hires for the period
-number of open positions as of a specific date
-number of terminated/quit employees for the period
-number of promotions for the period
-New positions created and the reason for the new position
-Comparisons to peers from the UBPR or other reports

Those are examples. This may take some of the reporting off the board of directors.

Committee titles alone do not tell us much as not every bank has the same committees or the need for such committees.

What has the Board charged your committee with and who sits on it? Telling us that might help get you some responses of similar committees at other institutions.

Thank you osucpa - those are all topics that they currently discuss, so they are certainly on the right track. I'll see if I can get any other information. I'm not on the committee - was just tasked with asking the question in the circles I'm in.

May consider the committee looking at (annually):
the area's pool of job prospects,
employment trends,
bank hiring guidelines,
pay-scale and benefits packages compared to peers,
Human Resource policy and
Code of Ethics
