Our bank has a Fair Lending/Compliance/CRA committee that meets quarterly. Our committee chair is a branch president and board member, and is retiring this year. In trying to determine if he should still serve as chair while only serving in an outside board member capacity, I was tasked with researching what the committee member requirements are. Can anyone point me in the right direction on this? I am unsure where to find this information.

Committees are of your own making - you set the rules. I would think you would want your committee chairs to be outside directors, especially when an inside director that is also a branch president could present a conflict of interest on these subjects.
