In reviewing the definition of LEC below it seems that corps, LLCs and other entities created by the filing of an organizational document with the SoS easily meets the definition of a LEC. However, given the location of the term "general partnership" in the definitional sentence (after the reference to the filing of a public document with a SoS), does this mean that a general partnership does not have to meet the standard of having been organized under the laws of a particular state such as by the filing of organization documents?

"Legal entity customer means a corporation, limited liability company, or other entity that is created by the filing of a public document with a Secretary of State or similar office, a general partnership, and any similar entity formed under the laws of a foreign jurisdiction that opens an account."

A general partnership meets the definition of a legal entity customer. You will be required to obtain the identifying information on partners owning a 25% or more interest in the partnership.

Not acknowledged in the voluminous preamble is the fact that some states do not require a general partnership to even have a written agreement, let alone register with the SOS. Regardless, they are still a legal entity for the purposes of this regulation.
