Should authorized signers on a business account sign the Corporate Resolution, or should it be just the Officers/Directors signing? We use our in-house resolutions for corporate accounts.

The resolution is step one. It identifies the individuals authorized by an entity's governing body (such as Board of Directors of a corp) to perform certain specified duties. When was meeting held, who was authorized, what were they authorized to do, signed by the Secretary of the Board (again, for a corp). You can then prepare your signature card based on those directives.

As there's no such thing as a standard form corporate resolution, that's going to be hard to answer.

In general, a corporate resolution is signed by the corporate secretary with language that indicates the individuals listed above were approved as signatories at a properly called board meeting on a specific date. One major vendor of bank forms provides for the signature of a second officer. Some banks require the signature of all officers as if the entity was a partnership instead of a corporation. (The latter option is pure overkill.)

Completely aside from the issue of who signs the resolution attesting to the action of the corporation is whether the resolution allows for the authorized signers to provide sample signatures. Those attesting to the resolution and those signing on the account may be two completely different groups.

Some forms provide for two sets of signatures. Some do not. Follow the instructions on your form.
