Would a Principal Shareholder who is not a voting board member, but would vote to decide who those board members are, be considered a Reg O insider?

215.2(h) Insider means an executive officer, director, or principal shareholder, and includes any related interest of such a person.

If they meet the threshold to be a principal shareholder, of course they are subject to Regulation O.
